Beyond this valuation gap, the deal includes a contingent value right promising 90% of net proceeds from the monetization of NextCure’s pipeline assets over the next two years.

Ademi LLP is scrutinizing the board’s decision-making process, specifically questioning whether the current deal structure unfairly prioritizes insider change-of-control benefits.
