The move, advised by Brown Gibbons Lang & Company, aims to fortify the buyer's thermal-chain capabilities as data centers face mounting pressure to manage the extreme heat generated by high-density AI and computing workloads.

The acquisition integrates the Texas-based firm’s expertise in direct-to-chip liquid cooling and cold-plate design into the broader infrastructure portfolio of the Westerville-based giant. By absorbing the team, Vertiv seeks to bridge the gap between server-side cooling and supporting facility infrastructure, ensuring more efficient thermal management for large-scale digital environments.

This transaction allows Vertiv to enhance its ability to simulate real-world high-density compute conditions. The engineering capability gained will assist customers across the entire lifecycle of their infrastructure, from initial design and integration to commissioning. Brown Gibbons Lang & Company acted as the exclusive financial advisor for the deal, leveraging its digital infrastructure investment banking practice to facilitate the exit for the thermal engineering firm.
