The board of UK-based SEGRO has indicated it would be minded to recommend a final acquisition proposal from Prologis, marking a significant step in the potential multibillion-dollar combination of the two real estate giants. The development follows a unanimous decision by SEGRO directors to extend the regulatory deadline for formalizing the deal.

Prologis confirmed the move on July 22, 2026, noting that the financial terms presented in its 'Best and Final Proposal' have met the threshold for board support. In response, regulators have pushed the so-called 'Put-up or Shut-up' deadline to 5:00 pm BST on August 12, 2026. This extension grants both firms additional time to navigate the complexities of a merger that would reshape the industrial real estate landscape.

While the prospect of a deal has moved forward, Prologis emphasized that no firm offer has been finalized. The company maintains that the current terms are final and will not be improved, barring exceptional circumstances or a competing bid from a third party. The San Francisco-based firm has retained Linklaters LLP as its legal counsel, with a consortium of banks—including Rothschild & Co, J.P. Morgan, Eastdil Secured, and BofA Securities—advising on the transaction.
