The legal action, initiated by the firm SueWallSt, claims that Helen of Troy concealed operational failures while repeatedly assuring the market that its restructuring program was on track to deliver substantial savings. The complaint asserts that these public statements created a false sense of security, despite significant internal resource constraints that ultimately hindered the company’s performance.

Financial disclosures between 2024 and 2025 revealed a series of sharp declines in share value. The first major correction occurred on July 9, 2024, when the stock dropped 27.7% following a 49% collapse in earnings per share. Subsequent disclosures, including a $414.4 million goodwill impairment in July 2025 and further sales declines in October 2025, triggered additional losses of 22.7% and 25% respectively. Joseph E. Levi, the attorney representing the class, suggests that the timeline reveals a widening gap between management's public guidance and the company's internal reality.
