Institutional investors who held shares between November 6, 2025, and May 6, 2026, must file for lead plaintiff status by September 14, 2026, to participate in the litigation regarding alleged misleading growth disclosures.

The legal action, filed by SueWallSt, centers on claims that the gym operator presented an overly optimistic outlook on membership growth and marketing efficacy. On May 7, 2026, Planet Fitness shares tumbled from $63.96 to $44.01 after the company slashed its 2026 financial targets and withdrew its three-year growth algorithm. The complaint alleges that management failed to disclose that its national marketing campaign was not resonating with casual gym-goers, a misstep that also forced the company to pause planned price increases for its Black Card membership.

For institutional holders, the decline represents a significant portfolio event requiring fiduciary assessment. The lawsuit contends that previous projections for same-club sales growth—initially pegged at 4% to 5%—were ultimately revised down to approximately 1%. Attorney Joseph E. Levi noted that institutional investors often play a critical role in such proceedings, as their involvement can ensure the efficiency and accountability of the litigation process. Investors are not required to pay upfront fees, as the case is being handled on a contingency basis.
