Denarius Metals Completes Debt-to-Equity Conversion

Denarius Metals Corp. has finalized a major financial restructuring, retiring its Series 1 and Series 2 convertible debentures through an early redemption. The company issued over 223 million common shares to debentureholders, significantly altering its capital structure and increasing its total issued and outstanding shares to 437 million.

The transaction, which closed on July 31, 2026, saw the company issue shares to satisfy conversion requirements, make-whole payments, consent fees, and outstanding interest and gold premium obligations. Following this issuance, the company’s fully diluted share count now stands at approximately 505.7 million.

Key insiders and major stakeholders adjusted their positions during the process. Executive Chairman Serafino Iacono increased his holdings, now beneficially owning 80.7 million common shares, representing an 18.47% stake. Similarly, Aris Mining Corporation strengthened its position, moving to 59.6 million shares, which accounts for 13.64% of the company. Both parties confirmed they continue to hold these securities for investment purposes and may adjust their holdings in the future based on market conditions.
