Bivial AG Launches Digital Share Capital Accounts to Streamline Incorporation
Founders establishing new companies in Switzerland can now bypass traditional paper-heavy bureaucracy through a fully digital share capital account. Zug-based Bivial AG has launched an automated system designed to manage the mandatory capital deposit process, aiming to resolve the manual delays that frequently stall the incorporation of GmbH and AG entities.

Historically, the Swiss incorporation process requires entrepreneurs to deposit paid-in share capital into a blocked account, a step often hindered by physical documentation and protracted manual reviews. Bivial’s new platform integrates these requirements into a single digital workflow, allowing founders and their professional advisers to monitor shareholder contributions in real-time. Once the capital is verified, the firm issues a digital confirmation necessary for notary submission.
"Entrepreneurs should be able to focus on building their businesses rather than coordinating paperwork between multiple parties," said CEO Martynas Bieliauskas. The service is currently available for eligible Swiss GmbH and AG incorporations, provided applicants pass the firm's standard due-diligence requirements. To scale this reach, Bivial is embedding the account-opening process directly into the platforms used by fiduciaries and corporate service providers, effectively minimizing the need for founders to navigate disparate systems during the startup phase.
