Ecopetrol Calls Bondholder Meetings to Approve Solar Merger

Ecopetrol has formally convened meetings for holders of its 2010 and 2013 domestic bonds to secure approval for the company’s planned merger with Parque Solar Portón del Sol. The sessions, scheduled for August 18 in Bogotá, mark a critical step in finalizing the absorption of the solar energy firm.

The meetings will address the integration of Parque Solar Portón del Sol into Ecopetrol, a move previously greenlit by the oil giant's shareholders in March 2026. Legal representatives Alianza Valores Fiduciaria and Itaú Fiduciaria Colombia are overseeing the proceedings for the respective bond series. Both gatherings will offer investors the choice to attend in person at the Centro de Innovación Bogotá or participate via a virtual platform provided by Deceval S.A.

For the 2010 issuance, bondholders are set to convene at 2:00 p.m. to review reports from Ecopetrol and credit agency Fitch Ratings before casting their votes. The 2013 issuance meeting will follow at 3:30 p.m. to deliberate on the same agenda. These proceedings are mandatory under Colombian financial regulations to ensure transparency regarding the impact of the merger on existing debt obligations. Ecopetrol, which remains Colombia’s largest integrated energy enterprise, is currently expanding its footprint beyond traditional hydrocarbons into renewable sectors, a shift underscored by this corporate restructuring.
