The acquisition involves a total consideration of up to C$6,025,000. This package includes an initial C$25,000 cash payment supplemented by the issuance of 30,000,000 common shares, valued at C$0.20 per share. These equity payments are tied to specific development timelines and performance milestones regarding the DomeCommand technology. Finalization of the transaction remains subject to customary closing conditions and formal approval from the Canadian Securities Exchange.

Alongside the acquisition announcement, Inturai Ventures has filed an amended offering document for its ongoing non-brokered private placement. While the company aims to raise up to C$1,275,000 through this offering, the terms remain unchanged from the initial August 4, 2026, disclosure. Management updated the documentation specifically to reflect the integration of the DomeCommand asset purchase into the company’s current growth strategy.
