UWM Holdings Faces Class Action Lawsuit After $603 Million Hedge Loss
Investors are targeting UWM Holdings Corporation in a securities class action following a 34% single-day stock collapse on August 6, 2026. The firm Hagens Berman is investigating allegations that management failed to disclose massive over-hedging risks linked to a failed attempt to acquire Two Harbors Investment Corp.

The legal scrutiny centers on a series of disclosures that wiped out 38% of the company's total equity. While UWM initially announced a $1.3 billion deal to acquire Two Harbors in December 2025, the merger collapsed in March 2026 when Two Harbors opted for a deal with CrossCountry Mortgage. The lawsuit alleges that UWM maintained speculative hedging positions on the target’s mortgage servicing rights portfolio long after the acquisition became unviable.
Management finally revealed the extent of the damage on August 6, 2026, reporting a $603 million hedging loss and an overall net loss of $451 million. The company concurrently announced a recapitalization plan that would lead to significant shareholder dilution. Reed Kathrein, a partner at Hagens Berman, is now questioning why the company remained silent regarding these risks for months. Since the initial acquisition announcement, UWM shares have plummeted approximately 75%, shedding $3.65 in value.
