Samsung Biologics Launches $1.46 Billion Bid for PolyPeptide Group

Samsung Biologics has formally initiated its tender offer to acquire Swiss-based PolyPeptide Group, offering shareholders CHF 44.31 per share in cash. The deal, valued at approximately CHF 1.46 billion, marks a significant expansion for the Korean CDMO as it looks to solidify its footprint in peptide-based pharmaceutical manufacturing.

The offer, executed through Samsung’s subsidiary Samsung Peptide AG, represents a 40% premium over PolyPeptide’s share price on April 10, 2026, just before market speculation regarding a potential acquisition began to circulate. The proposal has received unanimous backing from the independent members of PolyPeptide’s Board of Directors, who cite a fairness opinion from IFBC AG as justification for their support.

Securing the deal appears highly probable, as Draupnir Holding B.V., which controls 55.65% of PolyPeptide’s outstanding shares, has already committed to tendering its entire stake. The main offer period is scheduled to run from September 15 through October 12, 2026. Should the acquisition succeed, Samsung plans to initiate a squeeze-out of remaining minority shareholders and move to delist the company from the SIX Swiss Exchange. The transaction is contingent upon reaching a minimum acceptance threshold of 66⅔% and obtaining the necessary regulatory clearances.
