The activist investor filed its information circular this week, urging shareholders to support an independent slate of nominees via a green proxy ahead of the September 22, 2026 meeting.

The conflict centers on allegations of poor governance and a lack of accountability within TNR Gold. Eucalyptus Resources, led by JC Evensen, claims the current board, overseen by Kirill Klip, has employed aggressive tactics to stifle shareholder influence, including shifting record dates and delaying the annual meeting to facilitate a private placement with Altius Minerals Corporation. Evensen characterizes the current leadership as a insular family-run operation that has consistently disregarded investor concerns.
Governance disputes have reached a fever pitch following recent insider trading disclosures. Eucalyptus Resources highlighted that CFO Maurice Brooks sold 60,000 shares just two days before the company filed its interim financial statements. The activist group further warns shareholders against submitting control numbers to management-linked websites, citing concerns over third-party proxy solicitation firms gaining unauthorized voting power. Shareholders are being directed to the Laurel Hill Advisory Group for assistance in navigating the upcoming vote, as Eucalyptus seeks to replace the existing board with a new slate of directors.
