The legal action, spearheaded by Pomerantz LLP, targets UWM and its leadership over claims of unlawful business practices that allegedly misled shareholders. The controversy stems from a volatile period earlier this year when UWM attempted to acquire Two Harbors in a $1.3 billion all-stock deal. After CrossCountry Mortgage intervened with a superior cash offer, the agreement collapsed, leaving UWM with significant financial exposure.

On August 6, 2026, CEO Mathew Ishbia admitted during an earnings call that the company had been over-hedged in anticipation of the acquisition. This strategy backfired, resulting in a $603.2 million loss on interest rate derivatives and a total second-quarter net loss of $451.9 million. Following the disclosure, UWM stock plummeted to $1.20 per share. Investors seeking to serve as lead plaintiff have until October 13, 2026, to file with the court.
