Plaintiffs allege that Aevex and its underwriters concealed a pre-arranged plan to prematurely end a 180-day lock-up period, facilitating a secondary public offering (SPO) shortly after the company’s initial public offering. According to the filing, the company failed to disclose that Madison, a major stakeholder, intended to sell a significant portion of its holdings during this SPO. The suit further claims that the entirety of the net proceeds from the offering went to Madison, leaving Aevex with no capital gain from the transaction. Consequently, investors argue that the company’s public assertions regarding its financial health and operational prospects lacked a reasonable basis.
