Kyndryl Issues Equity Grants to New Hires Under NYSE Rules

Kyndryl has awarded 33,577 restricted stock units to six new non-executive employees as a material condition of their hiring. The grants, finalized on September 1, 2026, were issued under the NYSE Listed Company Manual Rule 303A.08 to incentivize the onboarding of specialized talent into the firm.

The Compensation and Human Capital Committee authorized the awards under the Kyndryl 2026 Employment Inducement Equity Incentive Plan. These equity packages were formally outlined in the offer letters provided to the incoming staff members. The structure of the awards follows standards largely consistent with the company’s existing 2021 Long-Term Performance Plan.

The vesting schedule for the total pool of 33,577 units is split into two distinct categories. A portion consisting of 7,778 units will vest in four equal annual installments, starting one year from the grant date. The remaining 25,799 sign-on units are set to vest over a two-year period in equal annual installments, also beginning on the first anniversary of the grant. Kyndryl, which operates as a global IT infrastructure services provider across more than 60 countries, issued these details to maintain compliance with NYSE disclosure requirements regarding employment-based equity exemptions.
