J.P. Morgan Securities plc served as the dealer manager for the transaction, while Computershare Investor Services PLC acted as the tender agent. The process saw 3,794,350 shares submitted for repurchase, exceeding the company’s cash limit. Consequently, the firm implemented a proration mechanism to manage the excess demand and avoid fractional share purchases. Tetragon expects to finalize payments to participating investors on or about September 8, 2026, with any unpurchased shares to be returned to the holders shortly thereafter.

Tetragon, a Guernsey-based investment company, maintains listings on Euronext Amsterdam and the London Stock Exchange. The company emphasized that this tender offer does not constitute an offer to sell or a solicitation to purchase securities within the United States, where the firm is not registered under the Investment Company Act of 1940.
