SKF Prepares to Spin Off Automotive Business Into Independent Entity

The proposed spin-off follows the board’s 2024 decision to reorganize the Automotive division into a standalone group. If approved, shareholders will receive shares in SKF Vertevo at a ratio of one-to-five, based on their existing holdings in AB SKF. The company estimates the book value of the distributed assets at 11 billion SEK. This transaction is structured under Lex Asea rules, intended to allow for a tax-neutral distribution for Swedish resident shareholders.

The meeting, scheduled at the Elite Park Avenue Hotel, will also address the appointment of attorney Patrik Marcelius as chair of the proceedings. Beyond the spin-off, the board has requested authorization to finalize the record date for the distribution, which is tentatively set for November 27, 2026. Should the process proceed as planned, trading for the new entity is expected to commence on December 1, 2026. Shareholders must finalize their registration by September 23 to participate in the vote, with options available for both in-person attendance and postal submission.
