Luxembourg Court Halts Ardagh Metal Packaging Sale

A Luxembourg district court has issued an injunction blocking Ardagh Holdings S.A. from selling its interests in Ardagh Metal Packaging S.A. The surprise ruling follows a unilateral application from minority holders of ARD Finance S.A. senior secured toggle notes, effectively freezing the divestment process for the global packaging group.

The summary order was granted without Ardagh Holdings having an opportunity to present its defense. Company leadership immediately labeled the minority holders' application meritless and has filed a request to have the injunction withdrawn. The dispute centers on debt obligations dating back to a November 2025 recapitalization of the parent entity.

Ardagh Metal Packaging operates 23 production facilities across nine countries, reporting $5.5 billion in sales last year. As a major supplier of recyclable beverage cans, any disruption to its ownership structure impacts a global supply chain that spans Europe and the Americas. The broader Ardagh Group remains a massive industrial player, maintaining 58 facilities worldwide with roughly $9.6 billion in annual revenue.
