According to the complaint, the company failed to disclose that its new strategic direction required diverting critical capital away from its profitable Private Cloud segment, while its Public Cloud business faced mounting pressure from direct competition with hyperscale cloud platforms.

Market confidence eroded on July 9, 2026, after Rackspace announced a $150 million reduction in its full-year revenue guidance and a $25 million cut to its Private Cloud outlook.
