Clarivate Launches $75 Million Cash Tender Offer for 2028 Notes
Clarivate Science Holdings Corporation has initiated a cash tender offer to repurchase up to $75 million of its 3.875% senior secured notes due in 2028. The company is inviting holders to submit their notes for purchase, with the final consideration determined by a fixed spread against benchmark U.S. Treasury yields.

The offer covers a portion of the $825 million in outstanding principal currently held by investors. Clarivate has set the expiration for the tender at 5:00 p.m. New York City time on September 23, 2026. The total payment to participating holders will include the calculated tender consideration plus accrued and unpaid interest up to the settlement date, which is currently anticipated to be September 25, 2026.
While the company has established a $75 million cap on the aggregate principal amount to be accepted, it retains the discretion to adjust this limit or terminate the offer entirely if certain conditions remain unmet. Citigroup Global Markets is serving as the dealer manager, with Global Bondholder Services Corporation acting as the tender and information agent. Investors are encouraged to consult with their financial intermediaries regarding specific submission deadlines, as these may precede the company's official cutoff time.
