EquipmentShare Faces Securities Lawsuit Over IPO Disclosures

Investors have until September 21, 2026, to file as lead plaintiffs in a class action lawsuit against EquipmentShare.com Inc. The litigation targets alleged omissions in the company's January 2026 IPO, claiming executives failed to fully disclose the extent of founder-affiliated related-party transactions and exposure to the firm's OWN Program.

The complaint, filed in the United States District Court for the Southern District of New York, names co-founder, President, and Director William Schlacks as a key defendant. Plaintiffs allege that the company’s Registration Statement misled investors by suggesting that specific related-party transactions would be significantly reduced or terminated prior to the offering. Instead, the suit contends that entities such as EZ Equipment Zone, Bevel Financial, and Armada Fleet Management remained deeply integrated into the company’s revenue streams and equipment sales.

Since the company went public at $24.50 per share, the stock has faced downward pressure, hitting a low of $16.06. This represents a decline of over 34.5%, or $8.44 per share, leaving many who purchased during the initial class period with significant losses. Joseph E. Levi of Levi & Korsinsky, the firm representing the plaintiffs, stated that the case hinges on whether shareholders were provided an accurate picture of internal financial ties before committing capital. The litigation asserts that those who authorized the IPO documentation must answer for these alleged disclosure failures under federal securities laws.
