Warner Bros. Discovery to Delist Euro Notes Ahead of Paramount Merger

Warner Bros. Discovery plans to voluntarily delist its 4.302% and 4.693% senior Euro Notes from the Nasdaq Global Market. The move, tied to the pending acquisition by Paramount Skydance Corporation, will result in the deregistration of the notes under the Securities Exchange Act once the process concludes in October.

The company intends to file a Notification of Removal from Listing on Form 25 with the U.S. Securities and Exchange Commission on or around October 6, 2026. This administrative shift will terminate the trade of these instruments on Nasdaq Global ten days after the filing is processed. Following this, Warner Bros. Discovery expects to file a Form 15 to suspend its reporting obligations related to these specific securities.

Management confirmed that the terms of the Euro Notes remain unchanged by this voluntary action. Currently, neither Warner Bros. Discovery nor Paramount Skydance have secured arrangements to list or quote these notes on any other national securities exchange. The decision marks another step in the structural realignment necessitated by the impending corporate merger.
