SciBase Issues Shares to Bergs Securities Following Rights Offering
SciBase Holding AB has issued 60,000 new shares to Bergs Securities to settle a portion of the guarantee compensation owed from its recently completed rights issue. The move, finalized on October 7, allows the medical technology firm to preserve cash by settling a SEK 0.9 million debt through equity rather than liquid capital.
The board resolved to issue the shares at a price of SEK 15 each, matching the terms established during the company's broader rights offering. This decision stems from a guarantee commitment provided by Bergs Securities in September, which included an option for the guarantor to receive compensation in shares instead of cash. By opting for this equity-based settlement, the firm retains capital for its ongoing medical technology operations.
This issuance increases the total number of SciBase shares to 14,119,787 and raises the share capital by SEK 300,000. The transaction results in a minor dilution of approximately 0.4 percent for existing shareholders. The board maintains that the subscription price was set at market terms following arm's length negotiations, ensuring the arrangement aligns with the interests of both the company and its investors.
