Investors File Class Action Against Compass Over Merger Disclosures
A federal class action lawsuit has been initiated against Compass, Inc., targeting investors who exchanged Anywhere Real Estate Inc. securities for Compass stock during the January 2026 merger. The litigation alleges that the company's registration materials contained significant misrepresentations regarding regulatory compliance and antitrust obligations.
The complaint filed by Bronstein, Gewirtz & Grossman, LLC centers on claims that the offering documents provided to Anywhere shareholders were fundamentally misleading. Plaintiffs contend that Compass falsely stated it was exerting reasonable best efforts to secure necessary regulatory authorizations and antitrust clearances. Furthermore, the lawsuit asserts that the company omitted critical information concerning its legal compliance, the status of essential business licenses, and the existence of undisclosed governmental investigations.
Investors who incurred losses during this transaction have until December 7, 2026, to petition the court to serve as lead plaintiff. While the firm is managing the case on a contingency fee basis, legal representatives Peretz Bronstein and Nathan Miller noted that participation in any potential recovery does not strictly require an individual to take on the lead plaintiff role. The firm, which specializes in securities fraud litigation, is currently soliciting inquiries from affected shareholders via their website or direct contact.
