The acquisition marks a strategic expansion for R&S Holdings, which aims to bolster its presence across the Mid-Atlantic behavioral health market. M&A Healthcare Advisors acted as the exclusive sell-side representative, managing the transaction’s regulatory and clinical due diligence on an accelerated timeline. Andre Ulloa and Mike Abud led the engagement, citing a strong alignment between the two organizations regarding treatment standards and growth objectives.

For Innovo Detox, the sale provides a platform for continued development under the umbrella of a larger, established operator. Eric Spofford, founder of Innovo Detox, noted that the advisory team’s command of the sector’s regulatory nuances was critical to navigating the complexities of the deal. Joe Rogers, Co-CEO of R&S Holdings, confirmed that the integration allows the company to build upon the clinical foundation Innovo established in Pennsylvania, further diversifying its service continuum.
