The acquisition follows a strategic arrangement established in April, which granted SpaceX the option to purchase the platform for $60 billion or settle for a $10 billion breakup fee. Management delayed the finalization of the merger until the completion of the company’s recent IPO. According to an SEC filing, the transaction is expected to conclude in the third quarter of 2026.

Musk has voiced dissatisfaction with the performance of internal xAI coding products, which have struggled to match the efficiency of industry-standard tools like Anthropic’s Claude Code and OpenAI’s Codex. By absorbing Cursor, SpaceX gains a platform that has seen rapid adoption as developers pivot toward automated programming workflows.
