A 50% ownership stake for the founding Rice and Lissette family following the proposed $14.25 per share acquisition of Utz Brands by Intersnack Group has triggered a formal investigation by the securities law firm Bleichmar Fonti & Auld LLP.

The legal inquiry centers on whether the deal, announced July 21, 2026, constitutes a breach of fiduciary duty by the company’s board or its controlling family. While the Rice and Lissette group agreed to vote their 42% shareholding in favor of the transaction—a move that increases their collective ownership in the post-merger entity by 8%—public shareholders remain excluded from similar equity roll-over opportunities.
Bleichmar Fonti & Auld LLP is now scrutinizing the negotiation process to determine if the terms unfairly prioritize the interests of the founding family over those of Class A common stockholders.
