The legal action follows revelations that Hub Group’s financial statements for the first three quarters of 2025 were materially inaccurate. The company admitted to understating purchased transportation costs and accounts payable by $77 million, forcing a restatement of those periods. Following the February 5, 2026 announcement, the company’s stock price dropped 18.25%, closing at $41.96 per share.

Further instability emerged on May 12, 2026, when Hub Group disclosed that its 2023 and 2024 annual reports were also unreliable due to incorrectly recognized transactions and inadequate internal controls. This second disclosure triggered another market reaction, with shares falling 12.52% to close at $36.62. Pomerantz LLP, the firm representing the class, has set an August 28, 2026 deadline for investors to petition the court for lead plaintiff status regarding these losses.
