While the IPO raised $9 million at $4.00 per share, plaintiffs contend that the offering documents relied on generic volatility warnings rather than addressing the history of the underwriters and auditors with similar microcap collapses.

The stock experienced a dramatic devaluation in late July 2025, plummeting from a closing price of $30.96 on July 28 to $1.65 the following day. This decline followed reports that the company had to publicly clarify it had no acquisition agreement with Gilead Sciences, dismissing rumors that had previously circulated in the market. The litigation now targets these alleged misrepresentations, alongside concerns regarding internal control weaknesses and a concentrated voting structure that left retail investors exposed to significant volatility.
