The offering price was set at $10.00 per unit, a figure that includes 3.75 million units issued following the full exercise of an over-allotment option by underwriters. Each unit comprises one Class A ordinary share and one-third of a redeemable warrant, with each whole warrant allowing the holder to purchase a share at $11.50. Proceeds from the offering have been placed in trust to facilitate future business combinations, including mergers or asset acquisitions.

Led by Chairman and CEO Christopher Bradley, the company is governed by a board that includes Brian Shimko, Harris Heyer, Walter McLallen, William Heyer, and James Heyer. Cantor Fitzgerald & Co. and William Blair served as joint book-running managers for the transaction, with Roth Capital Partners acting as co-manager. Once the units separate, the company expects its Class A shares and warrants to trade independently on the NYSE under the symbols HYAC and HYACW.
