CleanSpark Prices $2.27 Billion Offering for Sandersville Expansion
CleanSpark, Inc. has priced a $2.276 billion offering of senior secured notes due in 2031 to accelerate the development of its Sandersville data center facility. The notes, carrying a 7.875% interest rate, were priced at 98.5% of their principal amount in a private placement for institutional buyers.

The Las Vegas-based company plans to utilize the net proceeds to finalize construction costs for the Sandersville site, reimburse previous equity contributions, and establish mandatory debt service reserves. The offering is expected to finalize by September 25, 2026, pending standard closing conditions.
The debt obligations are backed by a subsidiary, CSDC Finance I, LLC, and carry a full, unconditional guarantee from CSRE Properties Sandersville. To secure the capital, CleanSpark has provided first-priority liens on substantially all assets held by the issuer and its subsidiaries. Furthermore, CleanSpark has committed to a completion guarantee, ensuring the company will provide additional funding if the note proceeds prove insufficient to finish the facility’s build-out.
