The complaint, captioned Bond v. UWM Holdings Corporation et al., asserts that UWM deviated from its standard operating model by taking on significant hedge positions linked to the $1.3 billion Two Harbors merger. When the merger collapsed after a competing bid from CrossCountry Mortgage, UWM was left with massive, unauthorized financial exposure. Investors allege the company failed to disclose these risks until the subsequent market fallout.

Financial disclosures following the collapse revealed a $603.2 million loss in interest rate derivatives, fueling a $451.9 million net loss for the second quarter of 2026. UWM shares fell from $1.84 to $1.20 per share following the announcement. Legal firm Bleichmar Fonti & Auld LLP, which filed the action, is seeking lead plaintiffs ahead of an October 13, 2026, court deadline to address alleged violations of the Securities Exchange Act of 1934.
