UWM Holdings Investors Face October 13 Deadline in Securities Lawsuit
A 34% single-day collapse in UWM Holdings Corporation shares on August 6 has triggered a securities class action lawsuit. Investors now have until October 13 to petition for lead plaintiff status following revelations that a failed acquisition attempt led to a $603 million hedging loss and subsequent shareholder dilution.

The litigation targets UWM’s handling of its attempted $1.3 billion acquisition of Two Harbors Investment Corp. According to the complaint, UWM entered into aggressive hedging transactions tied to Two Harbors’ mortgage servicing rights portfolio. When the merger agreement collapsed in March 2026—following Two Harbors' decision to merge with CrossCountry Mortgage—UWM allegedly failed to unwind its positions, turning the hedges into a speculative liability.
Management acknowledged the severity of the oversight in August, reporting a $451 million net loss and a total equity decline of 38%. The company subsequently announced a recapitalization plan that significantly diluted existing stakeholders. Reed Kathrein, a partner at Hagens Berman, which is leading the investigation, questioned why management remained silent regarding these risks for months. Shares of UWMC have fallen approximately 75% since the original acquisition announcement in December 2025.
